  • Atos Origin to Acquire Siemens IT Solutions & Services

    On December 14, 2010, after the market close, Atos Origin ("Atos") announced its intention to acquire Siemens IT Solutions and Services ("SIS")

    This was an opportunity that Atos could not turn down as it will make it a European major, leapfrogging over Capgemini, T-Systems and Fujitsu with significantly increased capabilities in IT infrastructure management and the scale to be a contender for much larger multinational deals involving key markets in western and central Europe. It will need to continue its focus on expanding its global delivery network, and now also on integrating processes and tools across delivery centers, and probably on modernizing its data center network........

  • Aon to Acquire Hewitt for $4.9Bn to Increase Global Benefits Capabilities

    With the acquisition of Hewitt, Aon will become the largest HR consulting and outsourcing player globally. Its increased scale, scope and combined strengths will enable Aon to better compete within the fast changing benefits market where several big moves have been made this year, including the merger of Towers Perrin and Watson Wyatt and the acquisition by ACS, a Xerox Company, of ExcellerateHRO.

    In a sense this is a reverse acquisition that recognizes the strength of the Hewitt brand in the new name, Aon Hewitt, and brings over the Hewitt chairman and CEO to manage the business. The combined entity at $4.3bn FY 2009 revenues will be nearly quadruple the size of Aon Consulting with its $1.3bn when added to the larger Hewitt's $3.0bn.

Compass BPO will now form the core of Minacs' FAO offering and Minacs plans to quickly integrate it with its own FAO operations. The founders of Compass BPO, David McCullough and Mark Atkins, are to join Minacs' management and will be leading Minacs' F&A Outsourcing division globally.

  • Xerox Acquisition of ACS

    This NelsonHall Perspective analyzes the acquisition of ACS by Xerox.

    On Monday September 28, Xerox announced its intention to acquire 100% of ACS common stock in a cash and stock transaction (c. 70% stock and 30% cash) valued at $63.11 per share, a 33.6% premium to the Friday's closing price. The cash portion is to be financed with $1bn from combined company cash and existing revolving credit agreements, plus $3bn to be raised in the capital markets. The transaction includes refinancing of $2bn of ACS debt.

    ACS board has voted unanimously in favor of the transaction.
